Aktueller Stand
Der Rat hat sein Mandat – die Abstimmung im Parlamentsausschuss steht aus
EU Inc ist weiterhin ein Kommissionsvorschlag im ordentlichen Gesetzgebungsverfahren. Am 23. Oktober 2026 haben die Botschafter der Mitgliedstaaten (AStV) das Mandat des Rates für die Verhandlungen mit dem Europäischen Parlament festgelegt, auf Grundlage des dritten Kompromisstextes des irischen Ratsvorsitzes. Das Parlament hat noch kein Mandat: Die für den 8. Oktober geplante Abstimmung im Rechtsausschuss (JURI) über den Bericht von René Repasi wurde laut Presseberichten verschoben, weil sich die Berichterstatter nicht auf Kompromissänderungen zur Arbeitnehmerbeteiligung einigen konnten. Im offiziellen Parlamentsdossier steht die Ausschussentscheidung weiterhin aus.
Das Ratsmandat und die 246 Änderungen im Berichtsentwurf PE790.143v02-00 sind Verhandlungspositionen – kein beschlossenes Recht. Nach dem Ratsmandat hätten die Mitgliedstaaten 21 statt 12 Monate Zeit, die Regeln anzuwenden.
Als Nächstes: die neu angesetzte Abstimmung im JURI-Ausschuss, für die noch keine offizielle Tagesordnung vorliegt. Trilogverhandlungen zwischen Parlament und Rat können erst beginnen, wenn das Parlament ein eigenes Mandat hat. Der Europäische Rat fordert einen Abschluss der Verhandlungen bis Ende 2026. Ein offizieller Registrierungstermin steht nicht fest.

Rat legt sein Verhandlungsmandat zu EU Inc fest
Die Botschafter der Mitgliedstaaten (AStV) haben das Mandat des Rates für die Verhandlungen mit dem Europäischen Parlament festgelegt, auf Grundlage des dritten Kompromisstextes des irischen Ratsvorsitzes vom 16. Oktober. Das Mandat behält eine Schnellgründung binnen 48 Stunden (ohne Wochenenden und Feiertage) zu höchstens 100 Euro bei, erlaubt den Mitgliedstaaten, die Eintragung aus Gründen der Geldwäsche- und Kriminalitätsbekämpfung aufzuschieben oder zu verweigern, ergänzt einen optionalen Mechanismus für Unternehmen, die in einem anderen Mitgliedstaat Schwellenwerte der Arbeitnehmerbeteiligung überschreiten, beschränkt die EU-ESO-Mitarbeiteroptionen auf kleine Midcaps, streicht das Insolvenzkapitel und gibt den Mitgliedstaaten 21 statt 12 Monate Zeit, die Verordnung anzuwenden. Trilogverhandlungen können beginnen, sobald das Parlament ein eigenes Mandat hat.

Europäischer Rat fordert Abschluss der EU-Inc-Verhandlungen bis Ende 2026
Die Staats- und Regierungschefs haben die Umsetzung der Roadmap „One Europe, One Market“ geprüft, das 28. Regime (EU Inc) hervorgehoben und Parlament und Rat aufgefordert, die Verhandlungen bis Jahresende abzuschließen.

Die für den 8. Oktober geplante Abstimmung im Rechtsausschuss über den Bericht von René Repasi fand laut Presseberichten nicht statt, weil sich die Berichterstatter nicht auf Kompromissänderungen zur Arbeitnehmerbeteiligung einigen konnten. Mit der Abstimmung hätte das Parlament sein Mandat für die Verhandlungen mit dem Rat festgelegt.

Council working party examines employee participation and incorporation theory
The Council Working Party on Company Law met to discuss employee participation rules for EU Inc companies and the incorporation theory versus real-seat theory. The Irish Presidency circulated a flash note indicating these items were under examination, with employee participation being considered ripe for decision following initial discussion in July 2026.

European Economic and Social Committee adopts opinion with 197 votes in favour
The EESC adopted its opinion on the EU Inc. proposal (INT/1123) at plenary session 607. The opinion, prepared by rapporteur Maxi Katharina Leuchters and co-rapporteur Antonio García del Riego, passed with 197 votes in favour, 0 against, and 7 abstentions. The section responsible was Single Market, Production and Consumption, which had adopted the text on July 2, 2026.

ECON Committee delivers opinion on EU Inc
The European Parliament's Committee on Economic and Monetary Affairs adopted its opinion on the EU Inc proposal by 34 votes to 13 with 9 abstentions (opinion PE788.878, ECON Chair Aurore Lalucq). The opinion supports the proposal as a first step and recommends allowing EU Inc companies to access public markets.
